Kidly is a technology platform designed to support parents, guardians and caregivers with parenting, child development, health information, organisation, education, discovery and access to selected services.

Depending on your location, account, subscription and the features available to you, Kidly may provide:

• child profiles;
• child development tracking;
• growth tracking and growth charts;
• developmental milestones;
• vaccination records;
• illness and symptom tracking;
• health records;
• medical document storage;
• AI-powered parenting assistance;
• AI-generated health and development information;
• AI document analysis;
• personalised recommendations;
• parenting articles and educational content;
• Kidly Reads;
• Kidly TV;
• Kidly Community;
• groups and discussions;
• events;
• Kidly Experts;
• professional and healthcare-related services;
• hospitals and healthcare information;
• pharmacy and laboratory-related services;
• nursery and childcare information;
• shopping and product recommendations;
• third-party services;
• family and co-parenting features;
• location-based services;
• notifications;
• analytics and personalisation; and
• other products and services that we may introduce from time to time.

Not every feature is available in every country.

Some features may be provided, operated or fulfilled by third parties.

In these Terms:

• "Kidly", "we", "us" and "our" mean Vibe18 Labs Private Limited and, where applicable, its affiliates and service providers.
• "you" and "your" mean the person accessing or using Kidly.
• "child" means a child whose information is added to or managed through Kidly.
• "User" means a person who accesses or uses Kidly.
• "Services" means the products, features and services made available through Kidly.

3. Accepting These Terms

By creating an account or using Kidly, you confirm that:

• you have the legal capacity to enter into these Terms;
• the information you provide is accurate to the best of your knowledge;
• you will use Kidly lawfully;
• you will comply with these Terms and applicable law; and
• where you create or manage a child profile, you are authorised to do so.

If you are using Kidly on behalf of another person, family or organisation, you confirm that you have authority to do so.

4. Eligibility

Kidly is primarily designed for parents, legal guardians and adult caregivers.

Unless a particular feature expressly permits otherwise, Kidly accounts are intended for adults.

You must not create an account by falsely representing your age or identity.

If you allow another person to access your account or child profile, you remain responsible for ensuring that person is appropriately authorised.

5. Your Account

Some Kidly features require an account.

You agree to:

• provide accurate information;
• maintain the security of your account;
• keep your login credentials confidential;
• notify us if you believe your account has been compromised;
• not share access in a way that creates a security or privacy risk; and
• not use another person's account without permission.

You are responsible for activity carried out through your account unless the activity resulted from circumstances for which you are not legally responsible.

We may require additional verification where reasonably necessary for security, fraud prevention, professional services, payments or regulatory requirements.

6. Child Profiles

Kidly allows you to create profiles for children in your care.

Depending on the features you use, a child profile may contain information including:

• name;
• date of birth;
• sex;
• photographs;
• height;
• weight;
• head circumference;
• developmental information;
• developmental observations;
• vaccination information;
• illness information;
• symptoms;
• medication information;
• laboratory information;
• health records;
• medical documents;
• nursery or school information;
• interests;
• routines;
• activity information; and
• other information you choose to provide.

You confirm that you have appropriate authority to create and manage a child profile.

You are responsible for the accuracy of information you enter.

Kidly does not independently verify every piece of information entered into a child profile.

You should correct information that you know to be inaccurate.

7. Family and Shared Access

Some Kidly features may allow you to share access to a child profile with:

• a parent;
• co-parent;
• guardian;
• family member;
• caregiver; or
• another authorised person.

You are responsible for determining who should receive access.

You should only provide access to people you trust.

Depending on the feature and permissions provided, another authorised user may be able to view, add, modify or delete information.

Kidly is not responsible for information disclosed by an authorised user where that disclosure is permitted by the access you granted.

8. Children's Information

Kidly recognises that information relating to children requires particular care.

We seek to design Kidly so that children's information is handled appropriately, proportionately and in accordance with applicable law.

Our Privacy Policy explains how information relating to children is collected, used, stored, disclosed and otherwise processed.

Where applicable law requires additional safeguards, consent or authorisation, we will apply those requirements.

Nothing in these Terms is intended to reduce rights that cannot lawfully be excluded.

9. Your Information and Product Data

Kidly processes information generated, submitted, collected or created through your use of the Services.

This may include information relating to:

• your account;
• child profiles;
• health and development;
• symptoms;
• growth;
• use of Kidly;
• interactions;
• searches;
• conversations;
• preferences;
• saved content;
• purchases;
• subscriptions;
• events;
• community activity;
• expert interactions;
• device and technical information; and
• other information generated through your use of Kidly.

We may refer to information and data generated through use of the Services as "Product Data".

Nothing in these Terms transfers ownership of intellectual property that you independently own merely because you use Kidly.

However, to the extent permitted by applicable law, you grant Vibe18 Labs Private Limited the rights necessary to:

• provide the Services;
• operate the Services;
• maintain the Services;
• personalise the Services;
• analyse use of the Services;
• improve the Services;
• develop new features;
• develop algorithms;
• develop recommendation systems;
• develop artificial intelligence and machine-learning systems;
• test and validate systems;
• detect and prevent fraud;
• maintain security;
• troubleshoot technical problems;
• conduct analytics;
• conduct research;
• create aggregated information;
• create statistical information;
• create de-identified information;
• create anonymised information; and
• otherwise develop and improve Kidly.

These rights are subject to applicable law and our Privacy Policy.

10. Aggregated, De-identified and Anonymised Information

Where permitted by applicable law, Vibe18 Labs Private Limited may create aggregated, statistical, de-identified or anonymised information from information generated through Kidly.

We may use such information for purposes including:

• research;
• product development;
• analytics;
• benchmarking;
• artificial intelligence development;
• machine learning;
• scientific research;
• educational research;
• commercial analysis;
• service improvement;
• publications; and
• development of new products and services.

Where information has been properly anonymised, we may use and disclose it for lawful purposes without treating it as identifiable personal information.

We will handle personal information in accordance with our Privacy Policy and applicable law.

11. Artificial Intelligence

Kidly may use artificial intelligence and machine-learning technology.

AI features may assist with:

• parenting questions;
• child development;
• health information;
• summaries;
• document analysis;
• recommendations;
• personalisation;
• content discovery;
• symptom organisation;
• educational information;
• other features introduced from time to time.

AI-generated information may be inaccurate, incomplete, outdated or unsuitable for your particular circumstances.

AI systems can make mistakes.

You should not assume that an AI response has been reviewed by a healthcare professional unless Kidly expressly states otherwise.

You should not rely solely on an AI output when making important decisions about your child's health, development, safety, medication or treatment.

12. AI Training, Development and Improvement

Where permitted by applicable law and subject to our Privacy Policy, Vibe18 Labs Private Limited may use information generated through Kidly to:

• train;
• test;
• evaluate;
• validate;
• improve;
• monitor; and
• develop

artificial intelligence, machine-learning, recommendation, analytical and predictive systems.

Where appropriate, we may use aggregated, de-identified or anonymised information for these purposes.

Where a particular feature or data category is subject to additional legal requirements, consent requirements or user controls, those requirements will apply.

13. AI Document Analysis

Some Kidly features may allow you to upload or photograph documents, including:

• clinic letters;
• discharge summaries;
• prescriptions;
• laboratory reports;
• vaccination records;
• medical reports;
• developmental assessments; and
• other documents.

Kidly may use automated systems, including AI, to extract, organise, summarise or explain information contained in those documents.

AI document analysis can contain errors.

Errors may occur because of:

• poor image quality;
• handwriting;
• incomplete documents;
• technical limitations;
• incorrect interpretation;
• missing context; or
• errors in the underlying AI system.

You should check important information against the original document.

14. Health and Medical Information

Kidly provides health and parenting information primarily for educational, organisational and informational purposes.

Unless expressly stated otherwise, Kidly is not:

• a hospital;
• an emergency service;
• a doctor;
• a paediatrician;
• a diagnostic service;
• a prescribing service; or
• a replacement for professional medical care.

Kidly features should not be treated as a substitute for assessment or treatment by a qualified healthcare professional.

15. No Emergency Use

Kidly must not be used to manage a medical emergency.

If you believe that your child is seriously unwell, has suffered a serious injury or requires urgent medical attention, seek appropriate emergency or medical care.

Do not delay seeking medical care because you are waiting for a response from Kidly or Kidly AI.

16. Illness and Symptom Tracking

Kidly may allow you to track:

• fever;
• temperature;
• cough;
• cold;
• vomiting;
• diarrhoea;
• urine output;
• medication;
• symptoms;
• duration of illness;
• severity;
• hydration-related observations; and
• other health information.

These tools are designed to help you organise information and observe trends.

They do not necessarily establish the cause, diagnosis or severity of an illness.

Any interpretation or insight provided by Kidly should be considered alongside appropriate professional medical advice.

17. Development and Growth Features

Kidly may provide:

• developmental milestone information;
• developmental tracking;
• growth charts;
• percentile information;
• developmental summaries;
• activity recommendations; and
• other child-development tools.

These features are intended to support parents in understanding and recording information about their child.

They do not independently establish whether a child has or does not have a developmental condition.

If you have concerns about your child's development, you should seek appropriate professional assessment.

18. Vaccination and Health Record Features

Kidly may provide tools to record:

• vaccinations;
• medical history;
• illness history;
• medication;
• laboratory information;
• health documents; and
• other health information.

Kidly does not guarantee that your records are complete or that reminders will always be delivered.

You remain responsible for confirming important medical information with the relevant healthcare provider.

Kidly should not be treated as the sole repository for information that you may urgently need.

19. Medical Regulation

Some Kidly features may be subject to healthcare or medical-device regulation depending on their functionality, intended purpose and the country in which they are offered.

We may modify, restrict, suspend or discontinue a feature where reasonably necessary to comply with applicable law, regulatory requirements or safety obligations.

The fact that a feature is described as informational does not by itself determine its regulatory classification.

Where required, Vibe18 Labs Private Limited will assess relevant features under applicable regulatory frameworks.

The MHRA currently maintains specific guidance for software and AI that may constitute medical devices, including qualification, classification and market-access requirements.

20. Kidly Experts

Kidly may provide access to professionals and specialists, including:

• paediatricians;
• doctors;
• psychologists;
• therapists;
• speech and language professionals;
• physiotherapists;
• occupational therapists;
• nutrition professionals;
• educators;
• childcare professionals; and
• other specialists.

Unless expressly stated otherwise, these professionals are independent third-party providers.

Kidly may verify certain professional information where appropriate.

Verification does not guarantee:

• the quality of professional advice;
• the suitability of a professional;
• the outcome of a consultation; or
• the accuracy of advice provided.

The professional remains responsible for the professional service they provide.

Additional terms may apply to professional services.

21. Third-party Services

Kidly may connect you with third-party services including:

• hospitals;
• laboratories;
• pharmacies;
• retailers;
• healthcare providers;
• professional providers;
• payment processors;
• booking platforms;
• AI providers;
• cloud providers;
• external websites;
• educational organisations;
• nursery providers; and
• other third parties.

Third-party services are subject to their own terms and policies.

Kidly does not control every third-party service.

Except where required by law, Vibe18 Labs Private Limited is not responsible for the acts, omissions, content, professional advice, products, services, availability or security of third-party providers.

22. Kidly Reads and External Content

Kidly may curate articles, guides, research, videos and other content from Kidly and third-party sources.

Kidly aims to prioritise credible and useful content.

However, we do not guarantee that every third-party resource is:

• accurate;
• complete;
• current;
• suitable for your child; or
• appropriate for your particular circumstances.

Third-party content remains the responsibility of its publisher.

23. Kidly Community

Kidly may allow users to:

• create posts;
• join groups;
• comment;
• participate in discussions;
• create polls;
• share recommendations;
• attend events;
• communicate with other users; and
• submit other User Content.

Community content may be created by users and does not necessarily represent Kidly's views.

You should not treat information posted by another user as professional medical advice merely because it appears on Kidly.

24. Community Safety

You must not use Kidly Community to:

• harass;
• threaten;
• abuse;
• discriminate;
• impersonate another person;
• publish private information without permission;
• exploit or endanger children;
• provide deliberately dangerous medical information;
• distribute illegal content;
• distribute malware;
• scam other users;
• misrepresent professional qualifications;
• spam;
• manipulate engagement;
• infringe intellectual-property rights; or
• violate applicable law.

We may remove or restrict content where reasonably necessary to protect users, comply with law or maintain the safety and integrity of Kidly.

Our Community Guidelines may contain additional requirements.

25. User Content

You retain ownership of intellectual-property rights that you independently own in content you submit to Kidly.

By submitting User Content to Kidly, you grant Vibe18 Labs Private Limited a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, distribute, adapt, format and otherwise use that content to the extent reasonably necessary to:

• provide Kidly;
• operate Kidly;
• display content to authorised users;
• moderate the platform;
• maintain security;
• improve relevant services; and
• develop Kidly.

This licence continues for as long as reasonably necessary for those purposes, subject to deletion and other rights under our Privacy Policy and applicable law.

You confirm that you have the rights and permissions necessary to submit the content.

26. Medical Document Storage

Kidly may provide storage for health-related documents.

Kidly is not intended to replace the original records maintained by your healthcare provider.

You should retain important original records where appropriate.

We do not guarantee that documents will always be accessible or available without interruption.

27. Events

Kidly may list or facilitate access to:

• local family events;
• parenting events;
• online events;
• professional workshops;
• educational sessions;
• community events; and
• other activities.

Events may be provided by third parties.

Event details may change.

Where appropriate, you should verify:

• date;
• time;
• location;
• availability;
• age suitability;
• price; and
• booking requirements

with the event organiser.

28. Shopping and Affiliate Services

Kidly may provide:

• product recommendations;
• retailer links;
• affiliate links;
• discounts;
• coupons;
• promotions;
• shopping services;
• price information; and
• other commercial services.

Where Kidly receives a commission or other commercial benefit, we may disclose this where required by law.

Prices, availability, discounts and promotions may change.

Third-party retailers are responsible for the products and services they sell.

29. Pharmacy, Laboratory and Healthcare Services

Where available, Kidly may facilitate access to:

• pharmacies;
• laboratory testing;
• hospitals;
• doctors;
• clinics;
• healthcare providers.

Kidly may act as a technology platform or intermediary.

Unless expressly stated otherwise, Kidly is not the healthcare provider supplying the underlying healthcare service.

The relevant provider remains responsible for its service, professional obligations, pricing, availability and regulatory compliance.

30. Intellectual Property

All intellectual-property rights in Kidly and its proprietary components belong to Vibe18 Labs Private Limited or its licensors.

This includes, where applicable:

• Kidly branding;
• trademarks;
• logos;
• software;
• source code;
• interfaces;
• designs;
• graphics;
• animations;
• databases;
• original content;
• videos;
• educational materials;
• AI systems;
• algorithms;
• recommendation systems;
• proprietary workflows;
• documentation; and
• other proprietary materials.

Except as expressly permitted, you must not:

• copy;
• reproduce;
• modify;
• distribute;
• sell;
• license;
• reverse engineer;
• decompile;
• scrape;
• commercially exploit; or
• create derivative products from

Kidly or its proprietary components.

31. Feedback

If you provide feedback, suggestions or ideas regarding Kidly, you agree that Vibe18 Labs Private Limited may use them without restriction or compensation to you, provided that we do not use your personal information contrary to our Privacy Policy.

32. Acceptable Use

You must not:

• use Kidly unlawfully;
• access another person's account without permission;
• attempt to bypass security controls;
• scrape Kidly;
• harvest information about users;
• introduce malicious code;
• interfere with Kidly infrastructure;
• reverse engineer Kidly;
• circumvent subscription restrictions;
• abuse promotional offers;
• create fraudulent accounts;
• impersonate Kidly or another person;
• misuse professional services;
• submit deliberately false information for fraudulent purposes; or
• assist another person to do any of the above.

33. Moderation and Automated Systems

Kidly may use automated systems and human review to:

• detect abuse;
• identify prohibited content;
• prevent fraud;
• protect children;
• detect security threats;
• moderate community content;
• improve platform safety.

Automated systems may make mistakes.

Where appropriate and required by applicable law, you may have rights to challenge or request review of certain decisions.

34. Subscriptions

Kidly may offer:

• free services;
• paid subscriptions;
• promotional plans;
• annual plans;
• monthly plans;
• free trials; and
• other pricing structures.

The price, billing period and features applicable to a particular subscription will be presented before purchase.

Subscription features may differ between countries.

35. Free Trials

Where offered, a free trial will be subject to the conditions shown when you start the trial.

We will communicate, where required, information including:

• trial duration;
• price after the trial;
• renewal period;
• billing arrangements; and
• cancellation method.

If you do not cancel before the end of a trial that automatically converts into a paid subscription, you may be charged the applicable subscription price.

36. Automatic Renewal

Unless otherwise stated, subscriptions may automatically renew.

The applicable renewal frequency and price will be disclosed before purchase.

You may cancel future renewal using the applicable cancellation process.

Cancellation generally prevents future charges but does not automatically entitle you to a refund for a period already paid for, subject always to mandatory consumer rights.

37. Price Changes

We may change subscription prices.

Where applicable law requires advance notice, we will provide it.

If a price increase gives you a legal right to cancel or reject the change, we will provide that right.

We will not use a general price-change clause to circumvent mandatory consumer protections.

This approach is important for UK consumers because unfair terms can be unenforceable, particularly where a business gives itself disproportionate unilateral powers.

38. App Store and Google Play

Where you obtain Kidly through Apple App Store, Google Play or another app marketplace, that marketplace's terms may also apply.

The relevant marketplace may control:

• payment;
• billing;
• subscription management;
• cancellation;
• refunds; and
• certain account functions.

You must comply with the applicable marketplace terms.

39. Refunds and Consumer Rights

Nothing in these Terms removes rights that cannot legally be excluded.

Where mandatory consumer law gives you rights relating to:

• cancellation;
• refunds;
• digital content;
• digital services;
• defective services;
• quality;
• conformity; or
• other consumer protections,

those rights continue to apply.

Where Kidly is offered to UK consumers, we will not rely on contractual wording that is inconsistent with mandatory consumer rights.

UK consumer terms must be fair and transparent, and unfair terms cannot be enforced against consumers.

40. Service Modifications

Kidly is an evolving technology platform.

We may:

• introduce new features;
• modify features;
• remove features;
• change designs;
• change functionality;
• introduce new subscription plans;
• discontinue features;
• change third-party integrations;
• introduce country-specific services; or
• otherwise modify the Services.

We will take reasonable steps to comply with applicable consumer law when changes materially affect paid services.

Nothing in this section gives us an unrestricted right to remove contractual rights you have already acquired.

41. Service Availability

We aim to provide a reliable service.

However, we do not guarantee that Kidly will always be:

• available;
• uninterrupted;
• error-free;
• compatible with every device;
• available in every country;
• free from security vulnerabilities; or
• continuously available.

Kidly may occasionally be unavailable because of:

• maintenance;
• upgrades;
• technical failures;
• cyber incidents;
• third-party outages;
• infrastructure problems;
• regulatory requirements; or
• circumstances outside our reasonable control.

42. Security

We use reasonable technical and organisational measures designed to protect information processed through Kidly.

However, no online service can guarantee absolute security.

You are responsible for maintaining appropriate security of your own devices and account credentials.

43. Third-party Technology Providers

Kidly may rely on third-party infrastructure and technology providers, including providers of:

• cloud hosting;
• AI;
• machine learning;
• analytics;
• communications;
• payments;
• document processing;
• authentication;
• security;
• storage;
• translation;
• search; and
• other technical services.

We may change providers where reasonably necessary to operate and improve Kidly.

The Privacy Policy explains applicable processing arrangements.

44. Disclaimer of Warranties

To the fullest extent permitted by applicable law, Kidly is provided on an "as available" basis.

We do not guarantee that:

• information will always be complete;
• information will always be current;
• AI outputs will always be accurate;
• recommendations will always be suitable;
• particular health or developmental outcomes will occur;
• third-party services will remain available;
• features will remain unchanged; or
• the Services will always operate without interruption.

Nothing in this section excludes statutory rights or protections that cannot legally be excluded.

45. Limitation of Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

This includes, where applicable, liability for:

• death or personal injury caused by negligence;
• fraud or fraudulent misrepresentation;
• statutory consumer rights;
• other liability that applicable law prohibits us from excluding.

Subject to the above, and to the fullest extent permitted by applicable law, Vibe18 Labs Private Limited will not be liable for indirect, incidental, special or consequential loss.

This may include, where legally permissible:

• loss of profits;
• loss of revenue;
• loss of business;
• loss of anticipated savings;
• loss of goodwill;
• loss of opportunity; or
• other indirect economic loss.

We will not be responsible, to the extent legally permissible, for losses arising solely from:

• inaccurate information supplied by a user;
• failure to seek appropriate professional care;
• reliance on AI-generated information contrary to these Terms;
• third-party services;
• third-party professional advice;
• user-generated content;
• events outside our reasonable control; or
• unauthorised access resulting from failure to maintain account security.

46. Indemnification

To the extent permitted by applicable law, you agree to compensate Vibe18 Labs Private Limited for reasonable losses, liabilities, costs and expenses arising from your:

• material breach of these Terms;
• unlawful use of Kidly;
• fraudulent activity;
• deliberate misuse of Kidly;
• infringement of third-party intellectual-property rights through User Content; or
• violation of another person's rights through your use of Kidly.

This provision does not apply to the extent that the relevant loss results from Vibe18 Labs Private Limited's own breach of law or liability that cannot legally be transferred to you.

47. Suspension

We may suspend or restrict your access where reasonably necessary because:

• you materially breach these Terms;
• fraud is suspected;
• your activity creates a security risk;
• your activity threatens another user;
• you misuse professional or health services;
• you attempt to circumvent restrictions;
• your account presents a serious legal or regulatory risk;
• payment obligations are not met; or
• suspension is required by law.

Where reasonably practicable, we will provide an explanation and an opportunity to resolve the issue.

We may act immediately where necessary to protect users, children, the platform or third parties.

48. Termination

You may stop using Kidly at any time.

You may delete your account using available account controls.

We may terminate your account where reasonably necessary in accordance with these Terms.

Termination does not affect rights or obligations that accrued before termination.

Certain provisions, including intellectual-property, liability, indemnity, data-use and dispute provisions, may continue after termination where appropriate.

49. Deleting Your Account

When you delete your account, we will process information in accordance with our Privacy Policy.

Some information may need to be retained for:

• legal compliance;
• regulatory obligations;
• fraud prevention;
• security;
• dispute resolution;
• accounting;
• tax;
• enforcement of legal rights; or
• other lawful purposes.

Information that has been properly anonymised or aggregated may no longer be capable of being associated with your account and may continue to be used where permitted by law.

50. Research and Product Development

Where permitted by applicable law, Vibe18 Labs Private Limited may conduct or support:

• scientific research;
• developmental research;
• parenting research;
• product research;
• statistical analysis;
• service evaluation;
• AI research;
• machine-learning research;
• behavioural analysis;
• population-level analysis; and
• other legitimate research.

Where personal information is used, the Privacy Policy and applicable legal requirements will govern the processing.

Where appropriate, research may use aggregated, de-identified or anonymised information.

Vibe18 Labs Private Limited may publish research findings where individuals are not identified, unless otherwise permitted by law.

51. Commercial Use of Non-personal Information

Where permitted by law, Vibe18 Labs Private Limited may use, license, disclose, publish or otherwise commercialise:

• aggregated information;
• statistical information;
• anonymised information;
• de-identified information that is no longer reasonably capable of identifying an individual; and
• other information that is not personal information.

Nothing in this section authorises Vibe18 Labs Private Limited to use personal information in a manner prohibited by applicable law.

52. Advertising and Commercial Partners

Kidly may work with commercial partners, including:

• retailers;
• brands;
• healthcare organisations;
• laboratories;
• pharmacies;
• educational organisations;
• childcare organisations;
• technology providers; and
• other businesses.

Kidly may receive:

• advertising revenue;
• referral fees;
• affiliate commissions;
• transaction fees;
• sponsorship;
• other commercial benefits.

Where required by applicable law, commercial relationships will be disclosed.

53. International Use

Kidly may be available in multiple countries.

Features, pricing, content, professionals, healthcare services and legal rights may differ between countries.

Where a country-specific provision conflicts with these global Terms, the country-specific provision will apply to the extent required by applicable law.

55. Governing Law

Because Vibe18 Labs Private Limited is incorporated in India, these Terms are intended to be governed by the laws of India, subject to mandatory consumer protections applicable in the country where you reside.

Nothing in this section prevents you from exercising statutory consumer rights or accessing a legally available court, regulator, ombudsman or alternative dispute-resolution mechanism.

Where we make a material change, we will provide reasonable notice where required.

The updated Terms will state the effective date.

Where applicable law gives you a right to reject a material change, cancel a service or receive a remedy, that right will continue to apply.

58. Electronic Communications

By using Kidly, you agree that we may communicate with you electronically where permitted by law.

• push notifications;
• in-app messages;
• SMS;
• other electronic communications.

Certain communications may be essential to providing the Services and may not be optional.

Marketing communications will be handled in accordance with applicable law and your communication preferences.

59. Force Majeure

We will not be responsible for failure or delay caused by circumstances beyond our reasonable control.

• epidemics;

• strikes;
• internet failures;
• telecommunications failures;

This does not affect mandatory consumer rights.

60. Severability

If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be modified or interpreted to the minimum extent necessary to make it enforceable where legally possible.

The remaining provisions will continue to apply.

61. No Waiver

If we do not immediately enforce a provision of these Terms, that does not mean that we have waived our right to enforce it later.

62. Assignment

You may not transfer your rights or obligations under these Terms without our consent, except where applicable law permits otherwise.

Vibe18 Labs Private Limited may transfer or assign its rights and obligations in connection with:

• a merger;
• acquisition;
• restructuring;
• sale of assets;
• corporate reorganisation; or
• transfer of the Kidly business,

subject to applicable law.

63. Entire Agreement

These Terms, together with the documents expressly incorporated into them, form the agreement between you and Vibe18 Labs Private Limited concerning your use of Kidly.

These documents include, where applicable:

• Privacy Policy;
• AI and Health Disclaimer;
• Community Guidelines;
• Subscription Terms;
• Expert Terms;
• Marketplace Terms; and
• other feature-specific terms.

If there is a conflict between these Terms and mandatory law, mandatory law will prevail.

If there is a conflict between these Terms and a feature-specific agreement, the feature-specific agreement will apply to that feature to the extent of the conflict.
